CORPORATE SOCIAL RESPONSIBILITY POLICY FOR IP CLEANING INDIA PRIVATE LIMITED

1. CSR POLICY

This policy sets out the key tenets of the corporate social responsibility (“CSR”) activities to be undertaken by IP Cleaning India Private Limited (“Company”).

2. INTRODUCTION

The Company is committed to undertake CSR activities in accordance with the provisions of Section 135 of the Indian Companies Act, 2013 (“Act”) read with Companies (Corporate Social Responsibility) Rules, 2013 (“CSR Rules”).

3. AIMS AND OBJECTIVES

(i) To develop a long-term vision and strategy for the Company’s CSR objectives; and

(ii) To establish an overview of CSR activities to be undertaken, in accordance with Schedule VII of the Act.

4. CSR ACTIVITIES

The board of the directors of the Company (“Board”) shall ensure that the CSR activities that are undertaken by the Company are within the scope of the following activities:

(i) Eradicating hunger, poverty and malnutrition, promoting health care including preventive health care and sanitation, including making contribution to the Swach Bharat Kosh;

(ii) Promoting education, including special education and employment enhancing vocation skills especially among children, woman, elderly, and the differently abled and livelihood enhancement projects;

(iii) Promoting gender equality, empowering women, setting up homes and hostels for women and orphans, setting up old age homes, day care centres and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically back ward groups;

(iv) Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agro forestry, conversation of natural resources and maintaining quality of soil, air and water;

(v) Protection of national heritage, art and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional arts and handicrafts;

(vi) Measures for the benefit of armed forces veterans, war windows and their dependents;

(vii) Training to promote rural sports, nationally recognized sports, paralympic sports and Olympic sports;

(viii) Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government for social-economic development and relief and welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women;

(ix) Contributions or funds provided to technology incubators located within academic institutions which are approved by the Central Government;

(x) Rural development projects; and

(xi) Such other activities as may be specified under the Act or the CSR Rules from time to time.

5. CSR EXPENDITURE

The Company shall endeavour to spend such amount towards undertaking CSR activities as is required in terms of Section 135 of the Act and the CSR Rules.

6. DUTIES & RESPONSIBILITIES OF BOARD OF DIRECTORS

(i) Recommend the CSR activities/programs to be undertaken by Company;

(ii) Recommend the CSR expenditure to be incurred on the CSR activities/programs; and

(iii) Effectively monitor the execution of the CSR activities.

7. CSR REPORTING

The Board in its annual report shall include the details of the CSR activities undertaken by the Company in the relevant financial year.

8. AMENDMENTS

The Board may, subject to compliance with applicable law, at any time alter, amend or modify the this policy.
